Terms & Conditions
These terms govern your engagement with Sila Tech and outline the obligations, expectations, and protections that apply to our professional relationship.
Please read these Terms and Conditions carefully before engaging with Sila Tech for any AI integration services. By proceeding with an inquiry, signing a service agreement, or making a payment, you indicate that you have read and understood these terms. If you have any questions, we encourage you to reach out before proceeding.
1.Definitions
The following terms carry specific meanings throughout this document:
- "Company," "We," "Us," or "Our" refers to Sila Tech, registered at 47 Phetchaburi Road, Ratchathewi, Bangkok 10400, Thailand.
- "Client" or "You" refers to any individual or organisation that engages with Sila Tech for services.
- "Services" refers to the AI integration assessment, build, and maintenance services offered by Sila Tech.
- "Agreement" refers to the service contract formed between the Client and Sila Tech upon acceptance of a formal proposal.
- "Deliverables" refers to any technical documentation, integrations, code, or reports produced as part of the Services.
- "Third-Party Services" refers to external AI platforms, APIs, or tools integrated as part of the agreed scope.
2.Acceptance of Terms
An agreement with Sila Tech is formed when:
- A Client signs or otherwise accepts a formal proposal or service order from Sila Tech; or
- A Client makes a payment for any Service offered by Sila Tech.
To engage with our services, the Client must be at least 18 years of age and must have the legal capacity to enter into a binding contract under Thai law or the laws applicable in their jurisdiction. If you are entering into this agreement on behalf of an organisation, you represent that you have the authority to bind that organisation.
3.Service Description
Sila Tech provides professional AI integration services to businesses in Thailand and internationally. Our current service offerings include:
Bedrock Review (฿4,800)
A technical assessment of up to two systems, identifying where AI integrations could be built reliably. Delivered as a written report.
Solid Integration (฿11,000)
A full integration build connecting a chosen AI service to the Client's tools. Includes testing, documentation, and a structured handover. Typical duration is approximately five weeks.
Maintenance Service (฿17,400/year)
Ongoing maintenance, monitoring, and thoughtful extension of existing integrations. Includes quarterly reviews and a dedicated named engineer.
Service availability is subject to capacity and may be affected by circumstances outside our control. We will communicate any availability constraints clearly before a project begins.
4.User Responsibilities
To allow Sila Tech to perform services effectively, Clients agree to:
- Provide accurate information about systems, business processes, and requirements in a timely manner;
- Grant appropriate access to systems, credentials, or environments necessary for the agreed work;
- Designate a responsible point of contact within their organisation;
- Review and provide feedback on deliverables within agreed timeframes;
- Ensure that any data shared with Sila Tech is provided with appropriate legal authority to do so.
Clients must not use Sila Tech's services for:
- Any purpose that violates Thai law or applicable international regulations;
- Processing personal data without appropriate legal basis under the Personal Data Protection Act B.E. 2562 (PDPA);
- Activities that infringe upon third-party intellectual property rights;
- Misrepresentation of the scope or nature of services to third parties.
5.Intellectual Property
All methodologies, processes, templates, and frameworks used by Sila Tech in delivering services remain the intellectual property of Sila Tech unless otherwise agreed in writing.
Deliverables specifically created for the Client under a formal engagement — such as custom integration code, configuration files, and written reports — are assigned to the Client upon full payment of all applicable fees.
Clients retain full ownership of their own data, systems, and pre-existing software. Sila Tech does not acquire any rights to Client data or systems through the performance of services.
6.Payment Terms
All prices are listed in Thai Baht (฿) inclusive of applicable taxes unless otherwise stated. Payments are due according to the schedule specified in the project proposal.
- A deposit may be required before work commences, as outlined in the individual proposal;
- Invoices are payable within 14 calendar days of issue unless otherwise agreed;
- Accepted payment methods include bank transfer to a Thai bank account and other methods specified on invoices.
Refund Policy: For assessment services, a partial refund may be considered if work has not yet commenced. For integration and maintenance services, fees are non-refundable once the relevant phase of work has begun. Any refund requests should be submitted in writing to [email protected] and will be reviewed on a case-by-case basis.
7.Service-Specific Terms
Bedrock Review
The written report delivered is based on information available at the time of assessment. Sila Tech does not accept responsibility for changes in system architecture or third-party services that occur after delivery. The report represents professional observations and recommendations, not a commitment to build.
Solid Integration
The scope of work will be defined in a written proposal prior to commencement. Changes to scope requested after work has begun may affect timelines and pricing, and will be agreed upon in writing before implementation. The five-week duration is indicative; actual timelines depend on Client access, feedback, and third-party system behaviour.
Maintenance Service
Annual contracts renew automatically unless cancelled with 30 days' written notice before the renewal date. Quarterly review meetings are scheduled at mutually convenient times. The named engineer assigned may change due to staffing circumstances; in such cases, Sila Tech will provide adequate transition support.
8.Confidentiality
Both parties agree to treat as confidential any non-public information shared during the course of an engagement. This includes, but is not limited to, system architecture details, business processes, pricing, and technical specifications.
Sila Tech will not disclose Client information to third parties except where required by law, or where strictly necessary to deliver the agreed services (such as interactions with third-party AI platform providers within the agreed scope). Confidentiality obligations survive termination of the service agreement.
9.Disclaimers
Services are provided on a professional best-efforts basis. While Sila Tech applies sound engineering practice and thorough testing, we do not warrant that integrations will operate without interruption or error in all circumstances, particularly where dependent on third-party AI services or external APIs outside our control.
Our services are technical in nature and do not constitute legal, financial, or business strategy advice. Clients should seek appropriate professional guidance for decisions in those areas.
10.Limitation of Liability
To the extent permitted under Thai law, Sila Tech's total liability for any claim arising from a service engagement is limited to the fees paid by the Client for the specific service giving rise to the claim.
Sila Tech is not liable for indirect, consequential, or incidental losses, including loss of data, loss of business opportunity, or business interruption, even where such losses were foreseeable.
Force majeure: Sila Tech is not liable for delays or failures caused by circumstances outside reasonable control, including natural events, government actions, internet infrastructure failures, or disruptions to third-party AI services.
11.Indemnification
The Client agrees to indemnify and hold harmless Sila Tech, its engineers, and representatives from any claims, losses, or damages arising from: the Client's misuse of delivered integrations; the Client's failure to comply with third-party AI service terms; inaccurate information provided to Sila Tech during the engagement; or the Client's violation of applicable law.
12.Termination
Either party may terminate a service agreement by providing written notice. For ongoing maintenance contracts, 30 days' notice is required. For project-based services, notice must be provided before the commencement of a new project phase.
Upon termination, the Client will be invoiced for work completed to the date of termination, calculated on a pro-rata basis where applicable. Completed deliverables will be handed over upon settlement of outstanding fees.
Provisions relating to confidentiality, intellectual property, payment of outstanding amounts, and limitation of liability continue to apply after termination.
13.Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from or relating to these Terms or the services provided will first be addressed through informal negotiation. We ask that either party raise concerns in writing, giving the other party 30 days to respond and seek resolution.
If informal resolution is not reached, the dispute shall be referred to mediation under the Thai Arbitration Institute rules, or to the courts of Bangkok, Thailand, at the election of the initiating party. Both parties agree to participate in good faith in any resolution process.
14.General Provisions
Entire Agreement: These Terms, together with any signed proposal or service agreement, constitute the full agreement between the parties and supersede any prior discussions.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
Waiver: Failure by either party to enforce any provision does not constitute a waiver of the right to enforce it in future.
Assignment: The Client may not assign rights or obligations under these Terms without prior written consent from Sila Tech. Sila Tech may assign rights to a successor in connection with a business transfer.
Notices: Formal notices must be sent in writing by email to the addresses specified in the project agreement, or by registered post to the business address of the receiving party.
15.Changes to These Terms
Sila Tech may update these Terms from time to time to reflect changes in our services or applicable law. When we do so, we will update the "Last Updated" date at the top of this page.
For existing clients under active service agreements, material changes to these Terms will be communicated via email at least 14 days before taking effect. Continued use of our services after that date indicates acceptance of the updated Terms.
